Welcome to Temi! Temi is a conversational chatbot designed to assist users with dating and relationship advice, connect users with specialists, and facilitate social and romantic experiences. By accessing or using Temi, you confirm that you have read, understood, and agree to comply with these Terms. Please read them carefully before using the Services.

1. ACKNOWLEDGEMENT

These Terms of Use ("Terms") govern your use of the Temi app and services (collectively, the "Services"). These Terms form a legally binding agreement between you and Temi. If you do not agree to these Terms, you may not access or use the Services.

Your access to and use of the service is also conditioned on your acceptance of and compliance with our Privacy Policy, Cookie Policy, Community Guidelines, and Safety and Well-being Policy. Please read them carefully before using our service.

2. ACCOUNT ELIGIBILITY

To create an account and use Temi, you must:

• Be an individual (not a business entity) at least 18 years old.
• Have the legal capacity to enter into a binding agreement.
• Provide accurate, complete, and current information when registering.
• Not have more than one account on Temi.
• Not have been previously removed without express permission.

You agree to:

• Comply with these Terms and applicable laws.
• Use the latest version of the App or Website.
• Review policies that apply to your use of Temi.
• Protect your login information.
• Not share or use another person's account without permission.
• Check these Terms periodically for updates.

You agree that you will not:

• Misrepresent your identity, age, or affiliations.
• Damage the Services or prevent their use by others.
• Interfere with or disrupt the platform or networks.
• Use Services for harmful, illegal, or nefarious purposes.
• Harass, bully, stalk, intimidate, or harm others.
• Post or share Prohibited Content.
• Solicit passwords or personal information unlawfully.
• Solicit money or items of value from other users.
• Use another user's account.
• Engage in fraud, pyramid schemes, or similar practices.
• Use Services for political campaign financing.
• Disclose private or proprietary information without rights.
• Copy, modify, or create derivative works without consent.
• Imply Temi endorses your statements.
• Use automated means to access or mine data.
• Upload viruses or malicious code.
• Forge headers or manipulate identifiers.
• Frame or mirror any part of Services without authorization.
• Use meta tags referencing Temi to direct to other sites.
• Reverse engineer or decompile any portion of Services.
• Develop third-party apps interacting with Services without consent.
• Access or publish Temi API without consent.
• Probe or test vulnerabilities of our Services.
• Encourage violations of these Terms.
• Create new accounts after suspension/termination without permission.
• Submit false reports about other members.

If you cease to meet these requirements, your access is automatically revoked and you must delete your account. Temi retains the right to remove access without warning.

3. CONTENT

3.1 Your Content

You retain ownership of content you upload ("Your Content") and grant Temi a non-exclusive, worldwide, royalty-free license to use, modify, display, distribute, and reproduce Your Content solely for providing and improving Services. You represent you have necessary rights to Your Content and it doesn't infringe third-party rights or violate laws.

3.2 Member Content

Temi does not endorse or verify content posted by other users ("Member Content"). Interacting with others carries inherent risks, and Temi is not responsible for other users' actions or statements.

3.3 Our Content

All content, features, and functionality provided by Temi ("Our Content") are Temi's exclusive property or its licensors. You may not copy, modify, distribute, or create derivative works without prior written consent.

3.4 Inappropriate Content

You must not upload, share, post, or display content that:

• Is obscene, pornographic, violent, or sexually explicit.
• Promotes hate speech, discrimination, or violence against protected groups.
• Is abusive, threatening, harassing, defamatory, or libelous.
• Encourages illegal activity or criminal offenses.
• Promotes self-harm, eating disorders, or violent extremism.
• Infringes intellectual property or privacy rights.
• Contains malware, viruses, or malicious code.
• Contains spam or junk mail.
• Involves commercial activity without authorization.
• Includes others' likeness without consent.
• Depicts minors inappropriately.
• Was not created by you without authorization.
• Impersonates others or misrepresents identity.
• Seeks to manipulate or deceive users.
• Is offensive, abusive, or intended to harass.
• Harms Temi's reputation or advocates misuse.

Uploading Prohibited Content may result in immediate suspension or termination. Temi may monitor, screen, edit, or remove content at its discretion. You are solely responsible for your content and may be legally liable.

4. RESTRICTIONS ON THE APP

You agree not to:

• Use the app for illegal or unauthorized purposes.
• Modify, reverse-engineer, or decompile the app.
• Access the app using automated means (bots, crawlers, scripts).
• Collect data or personal information without consent.
• Harass, abuse, intimidate, or threaten others.

You further agree to:

• Comply with all applicable laws.
• Use your real name and age.
• Use Services safely, inclusively, respectfully, and honestly.
• Abide by Community Guidelines and platform rules.

You agree that you will not:

• Act unlawfully, unethically, or disrespectfully.
• Misrepresent your identity, age, occupation, or affiliations.
• Disclose information you don't have rights to share.
• Stalk, harass, or target users inappropriately.
• Use the app for deceptive or manipulative activity.
• Use the app for unauthorized commercial activities.
• Submit false, misleading, or abusive complaints.
• Use unauthorized third-party applications.
• Scrape, copy, or replicate any portion of the app.

Violations may result in immediate termination or suspension and may expose you to civil/criminal liability.

5. PRIVACY

Our use of your personal data is governed by our Privacy Policy. By using Temi, you consent to the collection, use, and sharing of your information as outlined therein.

6. PURCHASE & PAYMENT TERMS

Temi may offer products and services for purchase ("In-App Purchases"). Additional terms disclosed at purchase apply and are incorporated by reference.

6.1 Payment Methods

In-App Purchases may be completed through third-party platforms (Apple App Store, Google Play) or payment processors (credit/debit cards, mobile money). You authorize Temi to charge your selected Payment Method.

6.2 Subscriptions

Subscription services renew automatically until canceled:

• Deleting your account or app doesn't cancel subscriptions.
• You'll be notified of price changes with cancellation options.
• Non-cancellation authorizes charging updated prices.

6.3 External Service Purchases

Purchases via Apple ID/Google Play are subject to their terms and must be managed through those services. External Services may apply taxes based on location.

6.4 Internal Purchases

Direct purchases through Temi automatically renew until canceled. You agree to pay all charges, including taxes, and authorize Temi to charge your Payment Method. We may correct billing errors post-charge.

6.5 Cancellation

• Direct subscriptions: Cancel in profile settings.
• Apple/Google subscriptions: Cancel through those platforms.
• Benefits continue until paid term ends; no prorated refunds unless stated.
• Canceling ≠ account deletion (see Section 7).

Temi may offer promotional pricing and reserves rights to limit offers, discontinue services, or decline purchases.

6.6 Free Trials

• One free trial per platform (App Store/Google Play).
• Trials convert to paid subscriptions if not canceled before term ends.
• Deleting app/account doesn't cancel trials.

6.7 Refunds

Purchases are final unless:

• Technical errors prevented access.
• Duplicate/erroneous charges occurred.
• Statutory rights apply (e.g., cooling-off periods).

Refund requests:

• Google Play: Via "Order History" > "Report a Problem".
• Apple App Store: Through Apple's official channels.
• Direct purchases: Email content@theplygroup.net with details.

Refund eligibility determined solely by Temi or third-party providers; requests don't guarantee refunds.

7. ACCOUNT TERMINATION

You may delete your account via app settings. External Service Purchases must be canceled separately. We may terminate/suspend accounts for violations, harmful conduct, or fraudulent activity. Termination doesn't release payment obligations.

8. NO CRIMINAL BACKGROUND OR IDENTITY VERIFICATION CHECKS

Temi doesn't conduct criminal background or identity verification checks. We don't guarantee users' conduct, intentions, or identity. You authorize Temi to perform checks using public records if chosen. You're solely responsible for interactions and must use judgment and safety precautions when communicating/meeting others. Report inappropriate behavior and consult Safety Guidelines. Temi isn't responsible for users' conduct on or off the platform.

9. ADS AND THIRD-PARTY CONTENT

Temi may display ads and third-party content. We're not responsible for their accuracy or reliability. Interactions with third parties are at your own risk.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Temi and its affiliates aren't liable for:

• Indirect, incidental, or consequential damages.
• Loss of profits, data, or business opportunities.
• Unauthorized access to your account or data.

Our total liability to you shall not exceed amounts paid to Temi in the preceding 12 months.

11. INDEMNITY

You agree to indemnify, defend, and hold harmless Temi and its affiliates from claims arising from:

• Your use of Services.
• Violations of these Terms or laws.
• Your content or information.
• Negligent acts or willful misconduct.
• Violations of third-party rights.

You're solely responsible for your actions/content. We may settle claims without your consent. You agree to cooperate in defense if requested. This section survives account termination.

12. DISCLAIMER

Services are provided "as is" and "as available." We disclaim all warranties to the fullest extent permitted by law, including:

• No guarantee of uninterrupted, secure, or error-free Services.
• No guarantee of accuracy, completeness, or timeliness of content.
• No guarantee of match compatibility or success.
• No representations about users' conduct, identity, or veracity.
• No systematic criminal background or identity checks.

Use at your own risk. Temi isn't responsible for device damage or data loss from accessing content. We don't endorse user content or statements.

13. INTELLECTUAL PROPERTY

All trademarks, service marks, and trade names related to Temi are its exclusive property. Use without prior written consent is prohibited.

14. DISPUTE RESOLUTION

14.1 Informal Resolution

14.2 Arbitration

Unresolved disputes shall be settled by binding arbitration under Nairobi Centre for International Arbitration rules, conducted in Nairobi in English.

15. GOVERNING LAW

These Terms are governed by Kenyan law without regard to conflict of laws principles.

By using Temi's Services, you agree to be bound by:

Continued use constitutes acceptance of updated Terms. Review Terms regularly.

17. ENTIRE AGREEMENT

These Terms, with incorporated policies, constitute the entire agreement between you and Temi, superseding prior agreements. If any provision is invalid, others remain in effect. Our failure to enforce rights doesn't waive them. Accounts are personal/non-transferable. Rights/licenses can't be transferred by you but may be by Temi. No agency/partnership is created between you and Temi.

18. CHANGES TO THESE TERMS

We may update Terms periodically. Significant changes will be notified via app or email. Continued use after changes constitutes acceptance.
